Former WWE Chairman Vince McMahon reached a settlement in a major shareholder lawsuit. The agreement ends the case and prevents a scheduled trial, which could have revealed more details about WWE’s merger with UFC.
McMahon and several WWE executives faced a class-action lawsuit from shareholders. The case challenged WWE’s merger with UFC. The shareholders claimed McMahon influenced the process. They alleged he favored Endeavor’s offer and that other potential bids existed. The deal ultimately created the $21 billion TKO Group.
Vince McMahon settles ahead of WWE-UFC merger trial
According to a report from Bloomberg Law, the Delaware Chancery Court officials mentioned that the parties have reached an agreement. As a result, the trial scheduled to begin on June 8 has been canceled. “The parties have represented to the court that they have reached an agreement in principle on a settlement,” court administrator Tamara Burton said.
The lawsuit focused on WWE’s 2023 merger. It also came during ongoing scrutiny surrounding McMahon. Earlier this year, Vice Chancellor J. Travis Laster sanctioned McMahon and WWE leadership. The issue involved deleted messages as those communications were sent through the Signal app.
Had the case reached trial, those sanctions could have created problems for the defense. The court planned to presume certain allegations were true. Those allegations involved McMahon’s role during merger negotiations.
The shareholders claimed negotiations were steered toward Endeavor by McMahon and WWE President Nick Khan. They also questioned his motivations. McMahon’s legal team argued that thousands of messages had already been produced during discovery.
They also maintained that some Signal data was unavailable because devices had been seized during a separate federal investigation and were not returned until 2025. While the settlement ends this shareholder lawsuit, McMahon continues to face other legal challenges, including the ongoing lawsuit filed by former WWE employee Janel Grant.
